On January 19, Zee Entertainment issued a statement asserting its lack of awareness regarding any board meeting conducted or planned by Culver Max Entertainment Private Limited (formerly Sony Pictures Networks India Private Limited).
Zee clarified that these internal matters of Sony are beyond their knowledge, and therefore, they cannot provide any comments in this regard.
In an official exchange filing, Zee emphasized its unwavering commitment to the merger with Sony and highlighted its continuous efforts towards ensuring the successful closure of the proposed merger.
The company expressed its dedication to engaging in good-faith negotiations with Sony and indicated a willingness to discuss the potential extension of the deadline required for the merger scheme to become effective.
This extension, if agreed upon, would provide a reasonable period for the involved parties to finalize the merger details.
Originally anticipated to be completed by December 21, 2023, the merger encountered a delay as Zee sought an extension of the deadline, a request that was accommodated by Sony.
According to reports, the merger pact signed in 2021 allowed for 30 days post the initial deadline, should either party seek additional time.
The extension was primarily sought by Zee to address a crucial aspect of the merger—the leadership role of Punit Goenka, Zee's Chief Executive Officer, in the combined entity. While Sony initially supported Goenka's leadership during the merger announcement, a shift occurred due to a regulatory probe against him.
In June of the previous year, the Securities and Exchange Board of India (SEBI) alleged deceptive practices by Zee, implicating the recovery of loans to conceal private financing deals linked to Zee Chairman Subhash Chandra.
An interim order by SEBI stated that Chandra and Goenka misused their positions, resulting in Goenka being prohibited from holding executive or director positions in listed companies.
Although Goenka obtained relief from an appellate authority against the SEBI order, reports indicated that Sony perceived the ongoing probe as a corporate governance issue, leading to reconsideration of Goenka's leadership role.
It is noteworthy that Zee and Sony received approval for their merger from the National Company Law Tribunal (NCLT) on August 10, 2023, marking a significant step forward in the merger process.
