Abu Dhabi Investment Authority (ADIA) is set to make a substantial investment of Rs 4,966.80 crore in Reliance Retail Ventures Limited (RRVL), acquiring a 0.59 per cent equity stake in the company, according to an announcement by Reliance Industries. This investment values RRVL at a pre-money equity value of Rs 8.381 lakh crore (USD 100.83 billion), propelling it into the ranks of the top four companies in India by equity value.

RRVL is the holding entity for Reliance Industries' expansive retail business, encompassing an integrated omnichannel network of over 18,500 stores and digital commerce platforms. The retail business spans diverse segments, including grocery, consumer electronics, fashion & lifestyle, and pharmaceutical products.

Isha Mukesh Ambani, Executive Director of RRVL, expressed satisfaction over ADIA's decision to deepen its engagement with RRVL. She highlighted ADIA's extensive experience in creating value globally, which is expected to further bolster RRVL's vision and contribute to the transformation of the Indian retail sector. She also emphasized ADIA's enduring belief in the Indian economy and RRVL's business fundamentals, strategy, and execution capabilities.

Hamad Shahwan Aldhaheri, Executive Director of the Private Equities Department at ADIA, praised Reliance Retail for its impressive growth and adaptability in a rapidly evolving market. He noted that the investment aligns with ADIA's strategy of supporting portfolio companies that are driving transformation in their respective markets. He expressed ADIA's enthusiasm for partnering with the Reliance Group and increasing its exposure to India's dynamic and rapidly expanding consumer sector.

In 2020, RRVL made headlines by raising Rs 47,265 crore (approximately USD 6.4 billion) from global private equity funds, resulting in a 10.09 per cent stake in the company. At that time, this valuation surpassed Rs 4.2 lakh crore. The fundraising marked a significant milestone and represented the largest capital injection in the sector at that time. Leading global investors such as Silver Lake, KKR, Mubadala, Abu Dhabi Investment Authority, GIC, TPG, General Atlantic, and Saudi Arabia's Public Investment Fund participated in the investment round, collectively valuing RRVL at around USD 57 billion.

Reliance Retail has been on an aggressive expansion drive, acquiring companies and securing franchise rights for renowned international brands in India. The company has also been investing in expanding its infrastructure and recently acquired the India business of the German retail giant Metro Cash and Carry.

During the annual general meeting (AGM) of Reliance Industries in August, Mukesh Ambani, Chairman of Reliance Industries, revealed that several prominent global strategic and financial investors had expressed strong interest in Reliance Retail. He asserted that if RRVL were to be listed on stock exchanges at its current valuation, it would rank among the top four listed entities in India. Ambani proudly noted that the valuation of Reliance Retail had doubled in less than three years, a pace of value creation that was unmatched globally.

In its latest annual report, Reliance Industries highlighted the remarkable achievements of Reliance Retail, including surpassing a billion transactions and amassing a registered user base of 249 million. In FY23, digital commerce and new commerce operations contributed to 18 per cent of Reliance Retail's revenue, which amounted to Rs 2.60 lakh crore. This investment from ADIA is expected to further strengthen Reliance Retail's position and its ambitious growth plans in the Indian retail sector.
