The share price of Aditya Birla Fashion and Retail (ABFRL) experienced a significant surge, jumping by a remarkable 15% during intraday trading on April 2.

This surge in stock value came in response to the announcement by the company's board, authorizing the management to explore the possibility of vertically demerging the Madura Fashion & Lifestyle business from ABFRL, thereby creating a distinct entity to be listed separately.

As the clock struck 09:55 AM, Aditya Birla Fashion & Retail was seen quoting at Rs 237.70, reflecting a substantial increase of Rs 26.00 or 12.28% on the BSE.

Throughout the trading session, the stock witnessed fluctuations, reaching an intraday high of Rs 243.45 and an intraday low of Rs 229.70.

A notable volume of shares, approximately 1.34 crore shares (constituting 1.41% equity) worth Rs 322.5 crore, exchanged hands at an average price of Rs 243 per share, as reported by CNBC-TV18.

The proposed demerger promises to create two distinct companies, each independently listed, thus functioning as separate growth engines with unique capital structures and opportunities for value creation, as emphasized by the company in a press release.

Following the necessary regulatory approvals, the demerger will be executed through an NCLT scheme of arrangement, ensuring that all existing shareholders of ABFRL maintain identical shareholdings in the newly formed entity.

With the demerger in place, the remaining ABFRL entity will strategically focus on high-growth segments that are poised for expansion, including the transition from unbranded to branded products, the trend towards premiumization, the emergence of super premium and luxury segments, and the rapid growth of digitally-oriented brands targeting Gen Z consumers.

Furthermore, post-demerger, ABFRL plans to bolster its balance sheet by raising growth capital within the next 12 months, thereby fortifying its position to capitalize on the immense growth opportunities that lie ahead.

The post-demerger portfolio of ABFRL will encompass a diverse array of segments, including Value Retail, catering to both value and masstige fashion through brands like Pantaloons and Style Up; Ethnic Portfolio, offering a comprehensive range of ethnic wear across various occasions, price points, and consumer segments, including designer wear; Luxury segment, comprising a rapidly growing bridge to luxury and luxury platform featuring brands like The Collective, Galleries Lafayette, and select luxury brands; and Digital brands, exemplified by TMRW, a leading portfolio of digital-first fashion brands.

This diversified portfolio underscores ABFRL's commitment to serving a broad spectrum of consumer preferences and market segments, positioning it as a formidable player in the fashion and retail landscape.
